Due to the special nature of the materials, we have created a user agreement.
Authorized representatives** of schools, organizations, agencies, or companies will need to read and agree to the Non-Disclosure Agreement below.
**Authorized representatives include teachers, counselors, professional staff, or administrators who will be in charge of the implementation of the Holland Codes for Kids Program.
An NDA is a promise by anyone you show your invention to that they will not steal your invention, they will not use it without your permission, and they will not market it without your permission.
AGREEMENT and acknowledge between HOLLAND CODES RESOURCE CENTER and INDIVIDUAL
This is a legal agreement between you and HOLLAND CODES RESOURCE CENTER. for the use of HOLLAND CODES FOR KIDS (http://www.hollandcodes-for-kids.com) or PAINT CAREERS WITH COLORS (http://www.paintcareerswithcolors.com) materials all of which are referred to as Paint Careers With Colorsin this agreement. By using PAINT CAREERS WITH COLORS, you agree to be bound by the items in this agreement.
Whereas, HOLLAND CODES RESOURCE CENTER agrees to furnish the HOLLAND CODES FOR KIDS program relating to the affairs of HOLLAND CODES RESOURCE CENTER for purposes of educational use, and
Whereas, INDIVIDUAL agrees to use such information only for educational purposes FOR AGREED UPON NUMBER OF USERS described above, and to otherwise hold such information confidential pursuant to the terms of this agreement,
BE IT KNOWN, that HOLLAND CODES RESOURCE CENTER has or shall furnish to INDIVIDUAL the HOLLAND CODES FOR KIDSprogram FOR AGREED UPON NUMBER OF USERS, all on the following conditions:
The PAINT CAREERS WITH COLORS program is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties.
PAINT CAREERS WITH COLORS may only be used by your students, clients, staff, and assignees. You may not transfer, rent, lease, resell, assign or lend the PAINT CAREERS WITH COLORS product to any other party without written consent from Holland Codes Resource Center. Unless you are a HollandCodes.com authorized dealer, you may not resell Paint Careers With Colors to other teachers, career professionals, parents, schools, or school counselors.
You may not reverse engineer, decompile, or disassemble thePAINT CAREERS WITH COLORS program. PAINT CAREERS WITH COLORSis licensed as a single program. Its component parts may not be separated.
You may not use the copyrighted PAINT CAREERS WITH COLORS program or its earlier system versions’ CD-ROM, printed materials, information content, screen designs, system design and functional model for the purpose of creating another system that would compete with the Paint Careers With Colors program.
INDIVIDUAL agrees to hold all confidential or proprietary information or trade secrets (“information”) in trust and confidence and agrees that it shall be used only for the contemplated purpose, and shall not be used for any purpose or disclosed to any third party.
No copies will be made or retained of any written information supplied, other than for the specific and exclusive usage in conjunction with HOLLAND CODES RESOURCE CENTER’S program.
At the conclusion of negotiations, or upon demand by HOLLAND CODES RESOURCE CENTER, all information including written notes, photographs, memoranda, or notes take n by INDIVIDUAL may be requested to be returned to HOLLAND CODES RESOURCE CENTER.
This information shall not be disclosed to any employee or consultant unless they agree to execute and be bound by the terms of this agreement.
It is understood that INDIVIDUAL shall have no obligation with respect to any information know by INDIVIDUAL or generally known within the industry prior to date of this agreement, or which becomes common knowledge within the industry thereafter.
LIMITED WARRANTY:
You alone are responsible for determining whether PAINT CAREERS WITH COLORS meets your particular needs and for the results obtained by its use. There are no warranties expressed or implied about the appropriateness of PAINT CAREERS WITH COLORS for your intended purposes.
In no event shall Holland Codes Resource Center be responsible for any indirect or consequential damage caused by your usage of PAINT CAREERS WITH COLORS.
